The Zanzibar Companies Act permits the incorporation of Single Member Company (SMC). SMC is a company that has a single shareholder however, the sole shareholder is required to be an individual and not an entity. Essentially, the single member should be the director and is required to appoint a secretary and nominate two individuals; one of whom should be a nominee director (in case of death of single member) and the other shall become alternate nominee director in case of non-availability of the nominee director.
The procedure of incorporating a company in Tanzania Zanzibar is more or less the same as that of Tanzania Mainland. It is to be noted that the Zanzibar Companies Act as amended by the Finance Act, 2021 has restrained the issuance of certificate of compliance to Tanzania Mainland incorporated companies. Hence such companies are required to re- register to be issued with certificate of incorporation. Therefore, a company incorporated in Tanzania Mainland can’t have a branch in Tanzania Zanzibar.
