Company Formation in Bangladesh

For an international business seeking to incorporate a private limited company in Bangladesh, the following steps are applicable:

  1. Name Clearance
  2. Bank account opening and bringing the paid up capital into Bangladesh
  3. Company Registration.

Following incorporation, the company is required to secure a commercial space through either purchase or rental within a commercial area. Subsequently, it must apply for a Trade License, VAT registration, and a Tax Identification Number (TIN).

Depending on the nature of the company's operations, additional business licenses may be necessary, including:

  • Registration with a Chamber of Commerce & Industry (optional but mandatory for obtaining either an Import Registration Certificate - IRC or an Export Registration Certificate - ERC)
  • Import Registration Certificate (IRC)
  • Export Registration Certificate (ERC)
  • BIDA recommendation for the issuance of Industrial IRC
